Credit Fund Investment Execution

Range Capital assisted a private investment office in relation to the investment assessment and transaction execution for a $24m real estate multi-asset private credit opportunity.

Our team undertook a detailed review of the private credit fund, the management structure of the lending vehicle, the underlying asset security, all disclosure materials, and the legal investment documents as well as the underlying legal documents supporting the credit placement. The transaction role included management and coordination of the investment manager to ensure that the highest quality of transaction execution was achieved.

Multistage Construction Funding

Wel.Co Project Construction Funding – Key West

Range Capital advised national property development company Wel.Co on the structuring and procurement of a construction funding and equity release facility of $43m for the Key West development. We developed an individual funding strategy for the project, structured to allow for accelerated multistage construction commencement without sacrificing optimised borrowing terms.

Our team identified a core group of sector-experienced senior lenders who could help Wel.Co dynamically enhance the project delivery timetable and delivered an aligned bank financier with a focus on developing a long-term funding relationship with the Wel.Co team. Range Capital coordinated the project from procurement and negotiation of finance terms through to transaction execution and a successful closing.

Strategic Capital Recycling

Stretch Senior Residual Stock Facility

Range Capital advised a national property development company on the structuring and procurement of a project-level residual stock facility of $90m. Range Capital undertook an analysis of the project sales strategy relative to the capital markets and structured a capital-efficient financing that provided access to project profits that could be used to support our client’s pipeline growth strategy.

Our team leveraged an extensive network of bank and non-bank capital providers to partner our client with an experienced, stretch senior real estate focused lender. Working in collaboration with external legal counsel, we coordinated the project from procurement and negotiation of finance terms and execution of the transaction to a successful closing.

Fund Management Advisory

Sydney Childcare Fund

Range Capital assisted a boutique fund manager to successfully launch its wholesale childcare funds’ strategy, including strategic advice on the long-term execution of its funds management strategy to complement its already successful medical centre funds’ strategy. This transaction advisory role culminated in Range Capital’s further engagement on the $9.5m capital raise for the manager’s first Sydney Childcare Fund.

Our team undertook a detailed review of all disclosure materials to ensure the fund met wholesale investor expectations regarding structure, returns, asset strategy, details terms and market conditions. We were pleased to also identify suitable investors for the new fund, assisting those investors in their review of the disclosure materials and supporting the manager with the successful closing of the capital raise.

Wholesale Equity Capital Raise

Aventus (ASX: AVN) Launches APS1 as First Wholesale Property Fund

Range Capital assisted the ASX-listed Aventus Group to develop and launch its wholesale property funds management business, including strategic advice on the long-term execution of its funds management strategy. This culminated in Range Capital’s engagement on the $24.1m capital raise for the Aventus Property Syndicate 1 Fund (APS1).

The team undertook a detailed review of all disclosure materials to maximise their appeal to wholesale investors and to ensure these materials would allow Aventus to meet its platform growth strategy. As Lead Introducer, the team identified sophisticated, wholesale cornerstone investors with an appetite for repeat investments. We assisted those investors in their review of the disclosure materials and supported Aventus in filling the investor register, facilitating the successful close of the capital raise.

Refinance

In-Build Construction Loan Refinance

Range Capital advised an international property development company on the refinance of a construction finance facility for a major multi-stage residential development in Victoria. Our team undertook a market level review of available capital at the desired level, identified the availability of enhanced terms and worked with our client to structure and procure a replacement construction finance facility of $180m.

Our team introduced a highly experienced, real estate focused, non-bank lender whose terms provided lower all-in debt costs and allowed for an acceleration to the program of six months, bringing in back-end revenue that allowed our client to lock in two new projects and expand into a new jurisdiction. Range Capital also coordinated the transactional execution process through to a successful closing.

Markham Launches Next Gen Office Development Fund with Alexandria Acquisition

Range Capital assisted Markham with the successful completion of the $50m capital raise for its Next Gen Office Development Fund at 22 O’Riordan Street, Alexandria, Sydney. The team performed a detailed review of all disclosure materials for the M9 Property Trust to maximise their appeal to HNW and Family Office wholesale cornerstone investors, focusing on highlighting the strength of the Markham brand and track record, and the calibre of the high-quality design, location, ESG focus and investment metrics.

As Lead Introducer, Range Capital identified aligned Family Office cornerstone investors that could have a continuing relationship with Markham. We worked with those investors to analyse the investment opportunity, deepen the parties’ connections with Markham and assist Markham in selecting a single cornerstone investment partner, facilitating the successful closing of the capital raise.

Corporate Restructure and Capital Repositioning

Welsh Group becomes Wel.Co

Range Capital supported an evolving real estate development business with a shareholder buyout, creation and implementation of a growth strategy and repositioning of its corporate funding structure linked to the shareholder buyout.

The Range Capital team undertook a comprehensive company review and delivered an optimised capital strategy that aligned with the company’s growth-focused development strategy. We assisted in the execution of the transition plan allowing for the consolidation of the ownership of the company to one of the company’s three shareholders. We also negotiated and restructured the company’s corporate funding positions with its existing lenders to assist the transition and add additional support for a new diversified income strategy to accelerate pipeline growth over five years.

Corporate Finance Restructuring

Business Strategy Recalibration and Corporate Finance Restructure

Range Capital supported a multi-national real estate developer with over $2.0bn in assets under construction to recalibrate its business strategy and restructure its $220m corporate finance credit line facility to support the change in strategic direction, including the provision of an additional $120m of new funding support.

Range Capital was engaged to undertake a comprehensive company review and facilitate a corporate strategy recalibration between the client and its corporate level credit financier. Our team undertook an in-depth review of the business in each jurisdiction, and for each individual development project, including cashflows and project return reviews. We then overlaid the project and corporate level cashflows, facilitating a business strategy review focused on stabilisation and growth.

Our team also led the execution of the corporate restructure plans, including a successful negotiation and interface with the corporate financier and the subsequent refinancing of the corporate credit line facility.
